Anthropic S-1 IPO Timeline: What the Oct 26 Filing and Official Pages Actually Say
Live timeline · last updated · 1 entry in the update log
On October 26, 2026 Anthropic published a short S-1 announcement and the SEC posted the registration statement the same morning. This page sticks to those primary sources: the ticker Anthropic named, the financial tables printed in the prospectus summary, and the public-benefit steps that preceded the filing. It is not a model-release page.
Anthropic, PBC filed a public Form S-1 with the SEC on October 26, 2026 for a proposed IPO of Class A common stock, intending to list on the Nasdaq Global Select Market under the symbol ANT; the prospectus summary reports $16.286 billion of revenue and an $80.748 billion net loss for the six months ended June 30, 2026, and $131.651 billion of cash, cash equivalents and short-term investments as of that date, while share count and offering price remain blank in the preliminary prospectus.
Read on 2026-10-28 (UTC+8): Anthropic’s Oct 26 S-1 announcement, the June 1 confidential draft announcement, the Oct 18 Public Benefit Fund announcement, the SEC EDGAR filing index for accession 0001628280-26-067168 (accepted 2026-10-26 09:00:11), the prospectus summary financial tables in anthropicpbc-sx1.htm, and the official @AnthropicAI X posts on Oct 18 and Oct 26. Dollar figures below come from those S-1 summary tables unless a sentence names another Anthropic page. We did not value the company, forecast the IPO price, or treat third-party valuation chatter as a fact.
Timeline
-
Anthropic publishes “Anthropic confidentially submits draft S-1 to the SEC.” The post says Anthropic, PBC confidentially submitted a draft registration statement on Form S-1 for a proposed IPO of its common stock, that the offering will depend on market conditions and other factors, and that the number of shares and the price have not yet been set. It is framed as a Rule 135 announcement, not an offer to sell securities.
-
Anthropic publishes “Investing in the public benefit,” announcing the Anthropic Public Benefit Fund. Subject to stockholder approval, 5% of Anthropic’s shares are committed to the wholly owned fund, with the board able to add up to an additional 2% for every 50% increase in company value above a set baseline. The same post says co-founders pledged 80% of their personal equity to philanthropic causes at founding, and that roughly 20% of Anthropic shares will be dedicated to the public good when combined with today’s announcement and employee matching. At 18:07 UTC the same day, @AnthropicAI posts the same commitment on X.
-
Anthropic publishes “Anthropic files S-1 with the SEC for proposed initial public offering.” The post says Anthropic, PBC filed a registration statement on Form S-1 relating to a proposed IPO of Class A common stock, intends to list on the Nasdaq Global Select Market under the symbol ANT, and that the number of shares and the price range have not yet been determined. It names Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC as contacts for prospectus copies and repeats the standard not-yet-effective disclaimer.
-
The SEC EDGAR index for accession 0001628280-26-067168 lists Form S-1 for Anthropic, PBC (CIK 0002130357), filing date 2026-10-26, accepted 2026-10-26 09:00:11. The primary document is anthropicpbc-sx1.htm. The prospectus cover says Anthropic has applied to list Class A common stock on the Nasdaq Global Select Market under the symbol ANT, and that the company is a Delaware public benefit corporation.

At 13:05 UTC @AnthropicAI posts that Anthropic has filed an S-1 registration statement with the SEC related to its proposed IPO, links the company news post, and includes the registration-statement legal disclaimer. Public metrics on the post when we read it included millions of impressions.
What the company announcement covers, and what it leaves out
Anthropic’s Oct 26 news post is short by design. It confirms the filing, the Class A common stock, the proposed Nasdaq Global Select listing under ANT, and that share count and price range are not yet set. It does not reprint revenue, cash, customer counts or governance detail. Those numbers sit in the S-1 prospectus that the SEC accepted the same morning.
The earlier June 1 confidential-draft post is the start of the public IPO path on Anthropic’s own site. Between that day and the October filing, EDGAR also shows several draft registration amendments under the same CIK; this timeline only dates the steps Anthropic itself announced, plus the public S-1 acceptance stamp.
This page is separate from Front’s Claude model release timeline. The S-1 is a company financing and disclosure event. It does not, by itself, date a new Claude model.
Financial figures printed in the prospectus summary
The S-1 summary consolidated statements of operations table (amounts in millions) reports revenue of $41 for 2023, $386 for 2024, $4,585 for 2025, $1,163 for the six months ended June 30, 2025, and $16,286 for the six months ended June 30, 2026. Net loss for that 2026 half-year is $(80,748). A footnote says the half-year includes a $72.4 billion change in fair value of convertible notes, derivative liabilities and SAFEs, driven primarily by an increase in the fair value of outstanding convertible promissory notes as enterprise valuation rose.
GAAP operating loss for the six months ended June 30, 2026 is $(693). In the non-GAAP table in the same summary, Adjusted Operating Income for that half-year is $1,618 and Adjusted Operating Margin is 10%. Those adjusted lines are Anthropic’s defined non-GAAP measures; the prospectus tells readers to read the MD&A reconciliation before treating them as GAAP results.
The summary also states that revenue grew 1,368% year over year for the three months ended June 30, 2026, while compute and infrastructure expenses grew 300% over the same period. As of June 30, 2026, Anthropic says it had raised an aggregate of $141.1 billion of capital, held $112.4 billion of cash and cash equivalents, and held $19.3 billion of short-term investments. The consolidated balance sheet data line for cash, cash equivalents and short-term investments is $131,651 (in millions) as of June 30, 2026.
Customer metrics in the prospectus summary, as of September 30, 2026, include more than 11,900 customers with $100,000 or more of revenue on a trailing-twelve-month basis, more than 1,900 with $1 million or more, approximately 250 with $10 million or more, Net Revenue Retention of approximately 900%, and trailing-twelve-month revenue per employee of over $6.6 million. Those are Anthropic’s own operating metrics as defined in the filing.
Governance, public benefit, and the blank lines that still matter
The prospectus cover describes a multi-class structure. Class A common stock has one vote per share. Class N has no voting rights except as required by law and is held primarily by strategic partners. A Long-Term Benefit Trust holds Class T stock that generally elects a majority of the board. A Founder LLC will hold a single Class F share entitled to 50.1% of total voting power on matters submitted to stockholders generally. Anthropic is a Delaware public benefit corporation and says it will be a “controlled company” under Nasdaq rules.
The Public Benefit Fund post and the S-1 summary both describe the initial 5% Class N contribution to Anthropic Public Benefit Fund, LLC, and the framework for later 2% increments when share-price milestones are hit. The S-1 states the initial issuance as 846,840,960 Class N shares, representing 5% of fully diluted shares as of June 30, 2026 assuming full conversion of the Amazon notes as defined in the filing.
What the preliminary prospectus still blanks out is the commercial core of any IPO price talk: how many Class A shares Anthropic and the selling stockholders will offer, and the dollar range per share. Until those fields are filled in an amendment, any headline valuation that multiplies a rumored share count by a rumored price is outside what these primary pages support.
What we could not verify
- A $2 trillion (or any other) IPO valuation. The preliminary S-1 leaves share count and price range blank.
- A single labeled “85% gross margin” line in the summary tables we cite. We report the revenue, expense, operating-loss and adjusted-operating figures that the summary prints.
- A standalone Q2 2026 GAAP operating-profit figure. The summary tables we used are annual and six-month; we did not promote derived quarterly splits from secondary write-ups.
- Claims that “48% of revenue” ran through cloud marketplaces. That percentage did not appear in the prospectus-summary passages we relied on for this page.
- An exact IPO pricing or first-trade date. Anthropic’s posts say the offering depends on market conditions and that the registration statement is not yet effective.
Our take
For builders who already follow Claude releases, the useful move is to keep the two tracks separate. Model dates still belong on the Claude model release timeline. The S-1 is the first time Anthropic’s own filing puts half-year revenue, cash, adjusted operating income and the ANT ticker on the same public record. Read the company news post for the legal shape of the offering, then read the EDGAR tables for the numbers; skip valuation headlines that fill in blanks the prospectus left empty.
